Welcome to AZ Hub. These Terms and Conditions (“Terms”) govern your access to and use of the AZ Hub website located at https://www.azhub.org (the “Site”) and all related services, content, and functionality offered by AZ Hub (“we,” “us,” “our,” or “AZ Hub”).
By accessing or using our Site and services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services.
1. About AZ Hub
AZ Hub is a non-profit organization dedicated to improving education in remote areas, with a primary focus on Africa and the Gulf Cooperation Council (GCC) regions. Our mission is achieved through:
- Providing professional development and certification for teachers.
- Developing, validating, and distributing educational curricula and learning materials.
- Facilitating access to educational technology and resources for underserved communities.
2. Acceptance of Terms
By registering an account, accessing, browsing, or using the Site in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
3. User Accounts and Registration
To access certain features, such as teacher certification programs or curriculum resources, you may be required to register for an account.
- Eligibility: You must be at least 18 years old or have the consent of a parent or guardian to use our services.
- Account Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.
- Security: You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
- Account Termination: We reserve the right to suspend or terminate your account and refuse any and all current or future use of the Site for any reason at any time, including if we suspect that your information is inaccurate, false, or misleading.
4. Intellectual Property Rights
- Our Content: All content on this Site, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, software, and the compilation of all content on the Site, is the property of AZ Hub, its partners, or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws. This includes all curricula, training materials, certification standards, and assessment tools.
- Your License: AZ Hub grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site and our educational content for your personal, non-commercial, educational purposes, in accordance with these Terms.
- Restrictions: You may not:
- Copy, modify, distribute, sell, or lease any part of our Site or content without our prior written consent.
- Use our content, including certified teacher materials, for any commercial purpose without a separate licensing agreement with AZ Hub.
- Reverse engineer or attempt to extract the source code of our website or any software.
5. User-Generated Content
Our Site may allow you to post, link, store, share, and otherwise make available certain information, text, graphics, or other material (“User Content”). You retain all rights to your User Content.
By posting User Content, you grant AZ Hub a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, and display such User Content in connection with the operation and promotion of our educational mission.
You are solely responsible for your User Content and the consequences of posting it. You represent that you own or have the necessary rights to the User Content you post and that it does not violate the privacy, intellectual property, or other rights of any third party.
6. Teacher Certification and Curriculum Programs
- Certification: AZ Hub teacher certification is granted upon successful completion of our defined program requirements, which may include coursework, assessments, and practical teaching evaluations. We reserve the right to revoke a certification if it is found to have been obtained fraudulently or if a certified teacher violates our code of conduct.
- Curriculum Use: Curricula provided by AZ Hub are intended for educational use as directed. While we strive for the highest quality, AZ Hub does not guarantee specific educational outcomes and is not liable for the application or results of the curriculum in individual classrooms or regions.
- No Guarantee of Employment: AZ Hub certification does not constitute a guarantee of employment or placement. We are not an employment agency.
7. Prohibited Activities
You agree not to use the Site:
- For any unlawful or fraudulent purpose.
- To harass, abuse, or harm another person.
- To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any “junk mail,” “spam,” or any other similar solicitation.
- To impersonate or attempt to impersonate AZ Hub, an AZ Hub employee, another user, or any other person or entity.
- To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by us, may harm AZ Hub or users of the Site.
8. Disclaimer of Warranties; Limitation of Liability
- “As Is” Basis: THE SITE AND ALL CONTENT AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND. AZ Hub DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, AZ Hub SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE.
9. Indemnification
You agree to defend, indemnify, and hold harmless AZ Hub, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. For users in the UAE, we also adhere to the applicable Federal laws of the United Arab Emirates.
Any dispute arising from these Terms shall be resolved through final and binding arbitration in Dubai in accordance with the Arbitration Rules of the England and Wales. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
11. International Use
We operate from the United Arab Emirates. We make no representation that our content or services are appropriate or available for use in other locations. If you access the Site from outside your own country, you are responsible for compliance with local laws.
12. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by posting the new Terms on the Site and updating the “Last Updated” date. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms.
